Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW OR WHERE BONDING, REGISTRATION, OR OTHER REQUIREMENTS WOULD BE REQUIRED BUT HAVE NOT BEEN MET, OR WHERE THE METHODS OF ENTRY SET FORTH BELOW WOULD BE DEEMED CONSIDERATION. ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS APPLY.

1. General
(a) The Backstreet Boys VIP Fly Away Promotion (“Promotion”) is being offered by Please & Thank You, LLC. (“Sponsor”), whose address appears at the bottom of these Official Rules. The Promotion begins on June 27, 2022 at 12:00 am Pacific Standard Time (“PST”) and will end on August 15, 2022 at 11:59 pm PST (“Closing Date”) (the “Entry Period”).
(b) By entering the Promotion, entrants accept and agree to be bound by these Official Rules.

2. Odds of Winning
The odds of being the selected entrant are dependent upon the number of eligible submissions received. The Sponsor estimates approximately 25,000 entries, in which case the odds would be 25,000 to 1.

3. Eligibility
(a) Subject to these Official Rules, the Promotion is open only to permanent legal U.S. residents physically residing in the fifty (50) United States of America and the District of Columbia, who are at least eighteen (18) years old as of the date of entry. Proof of age and identity will be required. To be eligible, entrants and travel companions must be able to travel legally to, from and within Nashville, TN. (e.g., have proper photo identification, passport, travel documents, etc.).
(b) The selected entrant (or the selected entrant’s companion) must meet any additional requirements of the airline and/or hotel (e.g., age restrictions, credit card for reservations if required, passport or other identification, etc.) and no guarantee is made by the Sponsor that eligibility for entry in the Promotion ensures that the entrant will meet the eligibility requirements of the hotel and/or airline.
(c) The Promotion is void where and to the extent prohibited by law and is subject to all applicable laws, including, without limitation, federal, state, and local laws and regulations. Employees and affiliates of the Sponsor, Please and Thank You, Patriot Management, and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies and any other entity involved in the development or administration of this Sweepstakes, and their immediate families or households are ineligible to participate in the Promotion.

4. How to Enter
(a) No purchase or payment is necessary to enter the Promotion. This Promotion is not intended to be an inducement to purchase any good, service or other product and does not require its participants to incur any monetary obligation, visit any business or attend or listen to any sales presentation. During the Entry Period, enter the Promotion through visiting http://bsbarmy.backstreetboys.com and commenting on a specific post located thereon. Alternatively, you may use the Alternative Method of Entry below.

(b) There is a limit of one (1) Submission per person or per household. By submitting an entry, you agree that your submitted name, email address, and any other information provided by you or collected by Sponsor in connection with the Promotion may be used by Sponsor in accordance with Sponsor’s Privacy Policy and may be shared with Sponsor’s affiliated business entities. All information submitted to Sponsor as part of an entry becomes the property of the Sponsor. Note that you may elect to opt-out of email communications from Sponsor by using the “unsubscribe” link provided in its emails.

(c) Any attempted second Submission shall be discarded and the submitting party may be disqualified from the Promotion at the discretion of the Sponsor. Sponsor expressly reserves the right to disqualify any entries that it believes in good faith are generated by an automated means or scripts. Entries generated by script, macro or other automated means are void. The Sponsor is not responsible for Submissions that are incomplete, illegible, inaudible, damaged, irregular, have been submitted through illicit means, or do not conform to or satisfy any technical specification and/or condition of these Official Rules and all such entries shall be disqualified.

Alternative Method of Entry (“AMOE”):
Non-Fan Club Members may enter the Promotion by mailing a 3” x 5” postcard containing the exact promotion name, “Backstreet Boys VIP Fly Away Promotion,” the entrant’s name, home address, telephone number, e-mail address, and date of birth to Please and Thank You, 1909 H Street, Sacramento, CA 95811. Entries by Fan Club Members and Non-Fan Club Members are collectively referred to as “Submissions.” Each AMOE card received will be considered as one (1) entry for that entrant.

(d) Regardless of the method used to enter this Promotion, the maximum number of entries allowed during the Entry Period is one (1).

5. Entry Disputes
In the event of a dispute, Submissions made by Internet will be declared made by the Authorized Account Holder of the e-mail address submitted at time of entry. “Authorized Account Holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

6. Submission Deadline
All Submissions must be received by the Closing Date. All Submissions become the exclusive property of the Sponsor, and none will be acknowledged or returned. Proof of sending or submission will not be deemed to be proof of receipt by the Sponsor.

7. Submission Selection and Notification
(a) On or about August 16, 2022, in Sacramento, California at 12:00 pm PST, a random draw will be conducted by an independent judging organization from all eligible entries received from all eligible entry methods by the Closing Date in order to select one (1) potential winner (“Selected Entrant”). The Promotion will be conducted under the supervision of the Sponsor. The decisions of the Sponsor shall be final and binding in all matters relating to the Promotion.
(b) The Selected Entrant will be notified via email (if Selected Entrant used AMOE) or direct message on the Backstreet Boys fan club website (https://bsbarmy.backstreetboys.com/) (if Selected Entrant used standard entry method) within approximately two (2) business days of the drawing, provided that Sponsor reserves the right to determine an alternate method of notification. Individuals need not be present at the drawing in order to be selected. Selected Entrant must claim their Prize within two (2) days after the date of notification of the Prize. If the first Selected Entrant cannot be reached within two (2) days of the first contact attempt by the independent judging organization, then such failure to respond will be considered such Selected Entrant’s forfeiture of the prize and an alternate winner may be selected from the pool of eligible entries. I If the first Selected Entrant does not accept the Prize, or is found to be ineligible or does not otherwise meet the requirements as set out in these Official Rules, then the Sponsor shall have the right to disqualify that entrant and to randomly draw another eligible entry. By entering, you agree that if you are a Selected Entrant that is disqualified and the Prize is forfeited for any reason, the Sponsor shall be fully and completely released and discharged from any liability or responsibility in this regard. The Sponsor is not responsible for the failure for any reason whatsoever of a Selected Entrant to receive notification.

8. Prize
(a) There will be one (1) prize (“Prize”) offered in connection with the Promotion, which will include the following:

1. Round-trip economy air travel for two (2) individuals to Nashville, TN from the closest international airport to the Selected Entrant’s residence from which the designated airline flies to Nashville, TN. The Selected Entrant and his/her travel companion must have the same origin and destination and must travel together at all times. Blackout travel dates might apply. Travel must coincide with the Backstreet Boys concert in Nashville scheduled for September 8, 2022 (“Concert”).
2. Two (2) nights standard accommodations (one room, double occupancy) at a selected hotel in Nashville, TN. Accommodations are subject to availability at the time of booking and must coincide with the Concert.
3. Two (2) tickets to the Concert.
4. Meet and greet with Backstreet Boys at the Concert.

(b) The approximate retail value of the Prize is Three Thousand Five Hundred U.S. Dollars ($3,500 USD), which may vary based on Selected Entrant’s origin of travel and rates available at time of booking.
(c) The Selected Entrant and his/her travel companion will be solely responsible for all ground transportation (including to and from the airport, hotel and venue), meals, and other entertainment, souvenirs, local and long distance telephone calls, gratuities, applicable taxes, incidentals, and all other costs and expenses not specifically mentioned as included above. Any damage or other costs incurred in connection with the hotel room rental other than the basic room rental fee shall be the sole responsibility of the Selected Entrant. Selected Entrant may receive an IRS Form 1099 reflecting the actual value of the Prize. The Selected Entrant and his/her travel companion will be solely responsible for obtaining any required travel identification and documents and any health or other insurance coverage required or desired in connection with or incidental to any of the activities identified above. Cancellation insurance is not part of the Prize but is recommended. Should Selected Entrant and/or Selected Entrant’s travel companion engage in unruly, obnoxious, illegal, unsafe, threatening, or otherwise inappropriate behavior while participating in the prize (as determined by Sponsor in their sole discretion), Sponsor reserves the right, without further notice or warning, to terminate the applicable activities early, in whole or in part, and send the Selected Entrant and/or travel companion home and/or take other actions as Sponsor deems appropriate in its sole discretion without any liability or other obligation to the Selected Entrant and/or travel companion.
(d) Only the person submitting the Selected Entrant will be permitted to attend the show(s) and may bring one (1) guest of their choosing. YOU UNDERSTAND THAT THE TICKETS IN THIS PROMOTION ARE PERSONAL AND NONTRANSFERRABLE. Show times and locations are subject to change and/or cancellation without notice or liability to the Selected Entrant.
(e) Decisions of the Sponsor are final and binding with respect to all matters related to the Promotion. In no event shall the Sponsor be obligated to award any prizes other than the Prize specified in these Official Rules. No substitutions (including, without limitation, for cash) are permitted, except that Sponsor reserves the right to substitute a prize of equal or greater monetary value for any Prize if such Prize should become unavailable for any reason. Winners shall be responsible and liable for all federal, state and local taxes on the value of the Prizes, and any related shipping and handling charges. No alternative value will be included for any activity or opportunity available and not accepted by the Selected Entrant or his/her travel companion. To receive a complete list of winners or a copy of the Official Rules, within six (6) months after the end of the Entry Period, send a self-addressed stamped envelope to BSB Fly Away Sweepstakes Winner’s List, care of the address appears at the bottom of these Official Rules.  The name of the Selected Entrant may be posted on the Backstreet Boys Official web site once the Selected Entrant has been confirmed by the Sponsor.

(f) Please allow up to 4 weeks for delivery of the Prize.

9. Prize Redemption
(a) The Concert is scheduled for September 8, 2022 and the Prize may only be redeemed at that time. Any unused portion of the Prize value is forfeited.
(b) Sponsor holds no responsibility for weather conditions or any other factors that might interfere with redemption of the Prize or otherwise impact the Selected Entrant’s use and enjoyment thereof. Notwithstanding the forgoing, Sponsor shall use reasonable efforts to assist the Selected Entrant in rescheduling flights and/or hotel to the extent the same is necessitated by a cancellation or postponement of the Concert due solely to the acts or omissions of Sponsor within its control, provided that doing so does not cause Sponsor to incur additional costs or expenses and, provided further that Sponsor’s failure or inability to do so shall not result in any liability of Sponsor or its officers, directors, agents or assigns. In the event that the Concert is cancelled and/or postponed, and the Selected Entrant has already booked a flight and/or hotel, then he/she may keep those reservations and, if the Concert is rescheduled, the Selected Entrant may redeem the tickets and meet-and-greet pass at the rescheduled event, provided he/she shall be solely responsible for all travel (including hotel and airfare) in connection therewith. It is the Selected Entrant’s responsibility to indicate to Sponsor how he/she prefers to address the forgoing contingency, which in all respects shall be subject to Sponsor’s approval, and the Selected Entrant’s failure to do so may result in forfeiture.
(c) By accepting the Prize, the Selected Entrant and his/her travel companion accept the inherently dangerous nature and risk involved in connection therewith, including personal injury and/or death, acknowledges that his/her participation in the Prize activities is voluntary, acknowledges that there are natural factors and occurrences which may impact or affect the safety of the activities he/she is participating in and he/she assumes the risk of such factors and occurrences and agrees that Sponsor and its officers, directors, agents and assigns shall not in any way be responsible for any resulting injury or death, or any other personal or property damage.

10. Rights in Certain Materials
Except where legally prohibited, your Submission constitutes permission for Sponsor or its affiliates and licensees to use each Submission, including your name, voice, image, likeness and address (city and state), in printed, broadcast or any other media as set out above, in perpetuity, in any manner it deems appropriate, including, without limitation, in record artwork, marketing, promotions and merchandising efforts, or in any other way the Sponsor or its representatives see fit in their sole discretion, or may refrain from doing any of the foregoing, without further compensation or notice to the party who makes the Submission. By entering the Promotion, you acknowledge and agree that Sponsor will maintain ownership of the Submission, and will own all Submissions provided by you. Each party who makes a Submission hereby irrevocably grants, transfers, sells, assigns and conveys to BSB Entertainment, Inc., its successors and assigns, all present and future right, title and interest of every kind and nature whatsoever, including, without limitation, all copyrights (and any renewals and extensions thereof) and all rights incidental, subsidiary, ancillary or allied thereto (including, without limitation, all derivative rights) in and to the Submission(s) for exploitation (whether for promotional, commercial or for other purposes) throughout the universe, in perpetuity, by means of any and all media and devices whether now known or hereafter devised (the “Rights”). Additionally, the Selected Entrant grants to BSB Entertainment, Inc., all Rights in and to any and all still images and audio and/or audio-visual recordings (“Recorded Materials”) captured while in Nashville for the Concert using the video camera provided as a part of the Prize. Without limiting the forgoing, the Selected Entrant specifically acknowledges and agrees that the right to create or cause the creation of any Recorded Materials inside the venue is not included in the Prize and that the Selected Entrant’s right to make such recordings shall be expressly conditioned upon execution of a limited license that, as between the Selected Entrant and BSB Entertainment, Inc., grants to BSB Entertainment, Inc., all Rights in and to such Recorded Materials. When choosing to participate in the Promotion, you will have consented to receive news, promotions, and other updates regarding the Backstreet Boys. However, you will be given the opportunity to define and modify your mailing preferences.

11. Release
(a) By entering the Promotion, entrants agree to release and hold harmless Sponsor and those involved in the development, production, implementation and distribution of the Promotion and their respective parent companies, affiliates, subsidiaries, service providers, and agencies, and their directors, officers, agents, employees, attorneys, and any other person or entity associated with such entities and/or promotion from and against any claims, damages, losses or injuries of any kind to person or property, including but not limited to death, including any third party claims, arising from or relating to, in whole or in part, the Promotion, including submission and participation in the Promotion, and acceptance, possession, use or misuse of the awarded Prize, any portion of the Prize or related activity, including any travel. Promoters shall not be liable for submissions that are delayed, lost, misdirected, misdelivered, marked postage-due, illegible, mutilated, incorrect or incomplete, and such submissions will not be eligible for the Promotion. Promoters shall not be responsible for any technical malfunctions of any telephone network, computer on-line system, computer equipment or software; program malfunctions or other failures; delayed computer transactions or network connections; any errors of any kind, whether human, mechanical or electronic; or any combination thereof, including, without limitation, any injury or damage to the computer of any entrant or any other person related to or resulting from downloading any part of the Promotion. This release is given with the knowledge that Sponsor will rely upon it at substantial cost to it and you agree not to assert or maintain against Sponsor or its affiliates, licensees and assigns, any claim, action, suit or demand of any kind or nature whatsoever, including but not limited to, those grounded upon invasion of the right of privacy or of publicity or any other civil rights, defamation, libel or slander or for any reason in connection with the exercise of the consent of rights granted by you herein. You acknowledge that Sponsor may assign these rights granted by you in, in whole or in part, to any person or entity. Any person attempting to defraud or in any way tamper with the Promotion will be ineligible and may be prosecuted to the full extent of the law. Sponsor reserves the right, in its sole discretion, to cancel or suspend the Promotion should viruses, bugs or other causes beyond its control corrupt the proper administration or security of a Promotion. Sponsor reserves the right to modify the Official Rules of the Promotion in any way or at any time, as long as reasonable notice is given via this website. THE PRIZES ARE AWARDED “AS IS,” AND SPONSOR DOES NOT MAKE ANY, AND HEREBY DISCLAIMS ANY AND ALL, REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING THE PRIZES.
(b) NOTWITHSTANDING ANYTHING ELSE HEREIN OR OTHERWISE, SPONSOR AND/OR ITS VENDORS SHALL NOT BE LIABLE OR OBLIGATED WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT OR UNDER CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR (A) ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE, GOODWILL, OR ANTICIPATED PROFITS), (B) DATA LOSS OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, AND/OR (C) ANY MATTER BEYOND SUCH PARTIES’ REASONABLE CONTROL.
(b) Except where prohibited, by entering the Promotion, the Selected Entrant agrees to execute and return to the independent judging organization within ten (10) business days of notification of selection: (a) An affidavit affirming eligibility and compliance with all Official Rules, together with proof of age in a form acceptable to Sponsor; (b) A liability release form; and (c) A publicity release form, which shall include provisions relating to use and ownership of Recorded Materials. The Selected Entrant’s travel companion must sign and return a liability and publicity release form within the time limits set forth above in order to participate. Notwithstanding the foregoing, TN residents do not need to sign the publicity release.
(c) If the selected entrant or his/her travel companion fails to submit the above within the given time period, the Sponsor reserves the right to disqualify said entrant and randomly draw another eligible entry for the purpose of awarding the Prize (time permitting), and the Sponsor shall be fully and completely released and discharged from any liability or responsibility in this regard.

12. Governing Law
The Promotion shall be governed by the laws of the State of Tennessee, United States of America. By participating in this Promotion, entrants agree that the state and federal courts located in the State of Tennessee, County of Davidson shall have jurisdiction over any dispute or litigation arising from or relating to this Promotion and that venue for such litigation shall be only in the Chancery Court for the City of Nashville, Tennessee, or the United States District Court for the Middle District of Tennessee, or, at the election of BSB Entertainment, Inc. any dispute or claim of any kind will be resolved by binding arbitration, such arbitration to be held in Nashville, Tennessee, and shall be held in accordance with the rules of the American Arbitration Association.
